U.S. Precious Metals, Inc. (USPR.OB) is an exploration stage company engaged in the acquisition, exploration and development of mineral resource properties. The Company focuses on gold and base mineral resource properties primarily located in the southern portion of the state of Michoácan, Mexico. The company owns exploration and exploitation rights to approximately 37,000 acres of land. All proven information available to the Company has been obtained from bore holes drilled by USPM and by the previous two companies that explored the property and analysed under chain of custody by an independent laboratory.

1. All mineral resources have been estimated in accordance with the definition standards on mineral resources and mineral reserves of the Canadian Institute of Mining, Metallurgy and Petroleum referred to in National Instrument 43-101, commonly referred to as NI 43-101.

2. U.S. Precious Metals, Inc. ("USPR") is a publicly traded company in the United States and subject to regulation by the United States Securities and Exchange Commission (the "SEC"). U.S. reporting requirements for disclosure of mineral properties are governed by SEC Industry Guide 7 ("Guide 7"). Canadian and Guide 7 standards are substantially different.
